1. About these Terms

These Terms of Use ("Terms") govern your access to and use of the website at nxt-grid.com and its pages (the "Website"). The Website is owned and operated by Nxt Grid Private Limited, a company incorporated in India with its principal place of business at WeWork, Eldeco Centre, Malviya Nagar, New Delhi - 110017, India ("nxtGrid", "we", "us" or "our").

By accessing or using the Website, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Website. If you use the Website on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.

2. The Website and the nxtGrid platform

The Website gives information about nxtGrid and its products and lets you contact us. It is separate from the nxtGrid platform, which our customers access under a written subscription agreement, order form or proposal accepted by both parties ("Customer Agreement").

Use of the nxtGrid platform is governed by the applicable Customer Agreement. If anything in these Terms conflicts with a Customer Agreement, the Customer Agreement prevails for the platform and services it covers.

3. Using the Website

You may use the Website for lawful purposes and to learn about and engage with nxtGrid. You agree not to:

• use the Website in a way that breaches any applicable law, including the Information Technology Act, 2000;
• attempt to gain unauthorised access to the Website, its servers or any connected system, or probe, scan or test their vulnerability;
• introduce viruses, malware or other harmful code, or interfere with the Website's normal operation, including through denial-of-service attacks;
• scrape, crawl or extract content from the Website by automated means, except for search engines indexing it for public search;
• copy, modify, reverse engineer or create derivative works from the Website or its content, except as these Terms allow;
• impersonate any person, misrepresent your affiliation, or submit false or misleading information; or
• use the Website to send unsolicited commercial communications.

We may suspend or restrict access to the Website, in whole or in part, at any time and without notice, including if we reasonably believe you have breached these Terms.

4. Information on the Website

We work to keep the Website accurate and up to date, but its content is provided for general information only. In particular:

• Illustrative examples. Dashboards, charts, plant names, figures and AI conversations marked "Illustrative example" are demonstrations. They do not show any real customer's data.
• Loss calculator. The calculator gives a simple estimate from the numbers you enter and the assumptions shown. It is not a forecast, guarantee or professional advice, and actual results depend on your assets and operations.
• Plans and features. Plan descriptions are a summary. Features, availability and commercial terms are confirmed only in a proposal or Customer Agreement, and we may change our plans and products over time.
• No offer. Nothing on the Website is an offer capable of acceptance. A contract is formed only when both parties sign or accept a Customer Agreement.
• Performance figures. Statistics about our experience and the platform describe our position at the time stated and are not a promise of specific results.

5. Intellectual property

The Website and its content, including text, graphics, designs, layouts, software, the nxtGrid name and logo, and other marks, are owned by or licensed to Nxt Grid Private Limited and are protected by Indian and international intellectual property laws.

You may view and print pages from the Website for your own internal business reference. You may not otherwise copy, reproduce, publish, distribute or commercially use any part of the Website, or use our name, logo or marks, without our prior written permission.

6. Information you send us

When you submit a form, call or write to us, you confirm that the information you provide is accurate and that you are entitled to share it. We handle personal data as described in our Privacy Policy.

Please do not send us confidential information through the Website. If you need to share confidential information, we can put a non-disclosure agreement in place first. If you send us ideas, suggestions or feedback about our products, we may use them without any obligation to you.

7. Third-party links and services

The Website may link to or load content from third-party websites and services, such as maps or fonts. We do not control them and are not responsible for their content, availability or privacy practices. Your use of them is subject to their own terms.

8. Disclaimer

To the fullest extent permitted by law, the Website is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, non-infringement or uninterrupted, error-free or secure operation.

9. Limitation of liability

To the fullest extent permitted by law, nxtGrid and its directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profits, revenue, generation, data or goodwill, arising out of or in connection with your use of, or inability to use, the Website.

Our total aggregate liability arising out of or in connection with the Website will not exceed INR 5,000 (Indian Rupees five thousand). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

This section applies to the Website only. Liability for the nxtGrid platform and services is governed by the relevant Customer Agreement.

10. Indemnity

You agree to indemnify nxtGrid and its directors, employees and agents against any claims, losses, liabilities, damages and reasonable costs, including legal fees, arising from your breach of these Terms or your misuse of the Website.

11. Governing law and disputes

These Terms are governed by the laws of India.

The parties will first try to resolve any dispute arising out of or in connection with these Terms or the Website through good-faith discussion. If the dispute is not resolved within 30 days, it will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement of the parties. The seat and venue of arbitration will be New Delhi, India, and the proceedings will be conducted in English.

Subject to the above, the courts at New Delhi, India will have exclusive jurisdiction over any matter arising out of these Terms, including applications for interim relief.

12. Grievances and contact

If you have a complaint or concern about the Website or its content, please contact our Grievance Officer, Dixit Goyal:

We will acknowledge your complaint promptly and aim to resolve it within one month of receiving it.

13. General

• Changes. We may update these Terms from time to time. The "Last updated" date shows when they last changed. Continued use of the Website after changes take effect means you accept the updated Terms.
• Severability. If any provision is found invalid or unenforceable, the rest of these Terms remains in effect.
• No waiver. Not enforcing a provision does not waive our right to enforce it later.
• Assignment. We may assign or transfer our rights under these Terms. You may not do so without our written consent.
• Entire terms. These Terms and our Privacy Policy are the entire agreement between you and nxtGrid about the Website.
